特定商取引法に基づく表記Notice on Commercial Transactions

当社が提供するコンサルティングサービスは、事業者間取引(BtoB)であり、特定商取引法の通信販売に関する規定の適用対象外です。ただし、取引の透明性確保のため、以下の情報を任意で開示します。The consulting services we provide are business-to-business (B2B) transactions and fall outside the mail-order provisions of Japan’s Act on Specified Commercial Transactions. For transparency, we voluntarily disclose the following.

02サービスおよび料金Services and fees

• 顧問契約(社外CHRO):月額500,000円(税別)〜Advisory retainer (fractional CHRO): from ¥500,000 per month (excl. tax)
• プロジェクト型:個別お見積りProject-based engagement: individually quoted
• スポット相談:単発から、都度お見積りSpot consulting: from a single session, quoted per engagement

いずれの契約においても、事前に業務委託契約書を締結の上、サービスを提供します。消費税は別途申し受けます。For all engagements, services commence after execution of a service agreement. Consumption tax is applied separately.

03支払方法および支払時期Payment method and timing

• 支払方法:銀行振込(振込手数料はお客様のご負担)Payment method: bank transfer (bank fees borne by the client)
• 顧問契約:月末締め・翌月末払いを標準としますRetainer: month-end billing, payable by the end of the following month, as standard
• プロジェクト契約:契約時・中間・完了時の分割払いを原則とし、詳細は契約書に定めますProject: split across signing, midpoint and completion, as set out in the contract
• 請求書は電子(PDF)で発行しますInvoices are issued electronically (PDF)

04サービス提供時期Service delivery

契約締結後、双方で合意した日程からサービス提供を開始します。Service delivery commences on the date mutually agreed after contract execution.

05契約の解約・キャンセルCancellation

• 顧問契約:事前の書面通知(予告期間は契約書に定めます)により、いつでも解除可能。解約金・違約金は発生しませんRetainer: terminable at any time with advance written notice (notice period per contract); no cancellation or breakage fees
• プロジェクト契約:中止時点までの実稼働分および既に発生した外部費用を精算のうえ、中途解約可能Project: terminable mid-engagement, settling actual work delivered and committed external costs
• スポット相談:キャンセル条件は、お申し込み時にご案内しますSpot consulting: cancellation terms are provided at booking

06返金についてRefunds

コンサルティングサービスの性質上、業務提供後の返金はお受けしておりません。ただし、当社の重大な債務不履行があった場合には、個別に協議の上、対応します。Due to the nature of consulting services, no refunds are issued after delivery. In the event of material breach on our part, resolution is discussed individually.

07反社会的勢力の排除Exclusion of anti-social forces

当社は、反社会的勢力との一切の関係を持たないことを表明します。契約締結時に、反社会的勢力ではない旨の表明保証条項を相互に締結します。We declare that we have no relationship with anti-social forces. Contracts include mutual representations and warranties to this effect.

08準拠法および管轄Governing law and jurisdiction

本サービスに関する契約の準拠法は日本法とし、契約に関する紛争については東京地方裁判所を第一審の専属的合意管轄裁判所とします。Contracts are governed by Japanese law. The Tokyo District Court has exclusive jurisdiction as the court of first instance.
